The transaction was implemented by way of a spin-off under the German Transformation Act (Umwandlungsgesetz), transferring the Discovery business from Kongsberg Maritime Germany GmbH to Kongsberg Defence & Aerospace Germany GmbH by universal succession. The scope of the transfer included employees, assets and contractual relationships.

The Discovery business focuses on advanced technologies, in particular in the fields of sensor systems, navigation and robotics, and forms part of Kongsberg’s broader maritime defence activities. The reorganisation supports enhanced data security requirements and a clearer separation of business units.

NOORDENJONES advised on all German legal aspects of the transaction, including structuring, preparation of the spin-off documentation, employment law matters and coordination with tax advisers.
